Terms of Use

1. Eligibility and Accounts

You must be at least 18 years old to use Alchemy. By using the service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

You are responsible for maintaining the security of your account, devices, and credentials, and for all activities that occur under your account. You agree to provide accurate information and to notify us promptly at privacy@niftybot.ai if you believe your account has been compromised.

2. License to Use Alchemy

Subject to your compliance with these Terms, NiftyBot LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use Alchemy for your personal, non-commercial use.

We may suspend, restrict, or terminate access to Alchemy at any time, including if we believe you have violated these Terms, created risk for us or others, or used the service in a way that is unlawful, abusive, fraudulent, or harmful.

3. User Content and Import Inputs

You may submit prompts, chat messages, recipe requests, links, photos, pasted text, preferences, feedback, and other content or materials to Alchemy. You represent and warrant that you own or control all rights necessary to submit that content and to allow us to use it as described in these Terms and our Privacy Policy.

You grant NiftyBot LLC a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, modify, adapt, translate, analyze, process, display, distribute, create derivative works from, and otherwise use your submitted content for the purpose of operating, improving, training, developing, marketing, securing, and providing Alchemy and related products and services.

4. Ownership of Alchemy Content

Alchemy, including the app, website, software, design, branding, features, models, prompts, workflows, datasets, recipe corpus, structured data, and all related intellectual property rights, is owned by NiftyBot LLC or its licensors and is protected by applicable law.

As between you and NiftyBot LLC, NiftyBot LLC owns all recipe content, generated outputs, titles, summaries, images, structured records, metadata, derived datasets, and other content created by or within Alchemy, to the fullest extent permitted by applicable law. If any rights in such content do not automatically vest in NiftyBot LLC, you hereby assign them to NiftyBot LLC and agree to take any further actions reasonably requested to confirm that assignment.

Nothing in these Terms limits any rights that may apply under law to material that is not protectable or exclusively ownable, including material that may not qualify for copyright protection under applicable law.

5. Feedback

If you provide suggestions, ideas, comments, or other feedback about Alchemy, you agree that we may use that feedback for any purpose without restriction, notice, compensation, or attribution to you.

You irrevocably assign to NiftyBot LLC all right, title, and interest you may have in feedback you submit.

6. Acceptable Use

You may not use Alchemy to:

• violate any law
• infringe any person's rights
• upload malicious code
• interfere with or disrupt the service
• attempt to gain unauthorized access
• scrape or extract the service at scale
• build a competing dataset or model except as permitted by law
• create, transmit, or promote harmful, unlawful, deceptive, or abusive material
• submit source material that you do not have the right to use

You may not rely on Alchemy for emergency, medical, nutritional, allergen, infant-feeding, or food-safety decisions without independent verification.

7. Third-Party AI Providers

Alchemy's core features — including recipe generation, chat, ingredient parsing, import, and personalization — are powered by large language models and AI services operated by third parties. We do not disclose the specific providers we use. By using these features, you acknowledge and agree that:

• your prompts, messages, recipe requests, imported content, and related inputs will be transmitted to and processed by one or more third-party AI providers
• those providers process your data under their own terms of service and privacy policies, which may permit them to use your data for their own operational purposes, including safety monitoring and model evaluation, subject to any restrictions in our agreements with them
• NiftyBot LLC does not control and is not responsible for the acts or omissions of third-party AI providers with respect to data processed through their systems
• the specific AI providers and models used by Alchemy may change at any time without notice
• outputs are generated by probabilistic AI models and are not reviewed by NiftyBot LLC before delivery to you

You should not submit information to Alchemy that you are not comfortable transmitting to third-party AI providers, including confidential, sensitive, or proprietary information.

8. AI Outputs, Food Safety, and No Professional Advice

Alchemy uses AI and automated systems, including large language models operated by third parties. Recipes, substitutions, timings, ingredient suggestions, nutrition-related content, and other outputs are generated automatically and may be incomplete, inaccurate, unsafe, or inappropriate for your circumstances. NiftyBot LLC does not review AI-generated outputs before they are delivered. You are solely responsible for reviewing all outputs before using them.

Alchemy is not medical, nutritional, dietary, allergen, or food-safety advice. You are solely responsible for confirming ingredient suitability, allergens, dietary restrictions, cooking temperatures, storage, sanitation, equipment safety, and whether a recipe is appropriate for you or anyone you cook for.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIFTYBOT LLC DISCLAIMS ALL LIABILITY FOR ERRORS, OMISSIONS, OR HARMS ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS, INCLUDING OUTPUTS GENERATED BY THIRD-PARTY AI PROVIDERS.

9. Subscriptions and Billing

Alchemy may offer paid subscription plans. By subscribing, you agree to the billing terms in this section.

Plans and pricing. Subscription options, pricing, and included features are described at the time of purchase and may change prospectively with notice. All prices are in U.S. dollars unless otherwise stated.

Free trials. If we offer a free trial, your trial begins on the date you activate it. Unless you cancel before the trial period ends, your subscription will automatically convert to a paid subscription at the applicable rate and your selected payment method will be charged.

Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) unless cancelled. For subscriptions purchased through Apple, renewal is governed by Apple's terms and will be charged to your Apple ID account within 24 hours before the end of the current period. You may manage or cancel your subscription at any time through your device's App Store subscription settings.

Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current paid period; you retain access through that date and will not be charged for the next period. We do not provide prorated refunds for partial billing periods.

Refunds. Subscription fees are generally non-refundable except as required by applicable law. For purchases made through the Apple App Store, refund requests must be submitted to Apple in accordance with Apple's refund policy. We do not process refunds for in-app purchases.

Price changes. We may change subscription prices at any time. We will provide reasonable advance notice of any price increase. Your continued use of Alchemy after a price change takes effect constitutes your acceptance of the new price.

Taxes. Prices do not include applicable taxes unless stated. You are responsible for all applicable taxes and charges associated with your subscription.

10. Availability and Changes

Alchemy may change over time. We may add, modify, suspend, or discontinue features, outputs, models, integrations, or access to the service at any time without liability.

The service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability, error-free operation, or that outputs will be accurate, complete, or fit for any particular purpose.

11. Termination

You may stop using Alchemy at any time. We may suspend or terminate your access at any time, with or without notice, if we believe it is necessary to protect Alchemy, our users, our business, or others, or if you violate these Terms.

Sections that by their nature should survive termination will survive, including sections relating to ownership, feedback, disclaimers, limitations of liability, dispute resolution, arbitration, class action waiver, and any licenses you grant to us.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALCHEMY IS PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS. NIFTYBOT LLC DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.

WE DO NOT WARRANT THAT ALCHEMY WILL BE SECURE, UNINTERRUPTED, TIMELY, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY RECIPE, IMPORT, MEMORY, PERSONALIZATION, OR OTHER OUTPUT WILL BE CORRECT, SAFE, OR SUITABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIFTYBOT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO ALCHEMY OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF NIFTYBOT LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO ALCHEMY OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD 100) OR THE AMOUNT YOU PAID TO NIFTYBOT LLC FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnity

You agree to defend, indemnify, and hold harmless NiftyBot LLC and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of Alchemy, your submitted content, your violation of these Terms, or your violation of any law or another person's rights.

We reserve the right to control the defense and settlement of any matter subject to indemnification by you, and you agree to cooperate with us in that defense.

15. Binding Individual Arbitration and Class Action Waiver

Please read this section carefully.

Except for disputes that qualify for small claims court, claims relating to intellectual property or unauthorized access, or requests for injunctive relief, you and NiftyBot LLC agree to resolve disputes arising out of or relating to Alchemy or these Terms through final and binding individual arbitration and not in court.

Arbitration will be conducted on an individual basis only, and not as a class, collective, coordinated, consolidated, mass, or representative action. Each party waives any right to a jury trial and any right to participate in a class or representative action.

This arbitration agreement is governed by the Federal Arbitration Act. Arbitration will be administered by the American Arbitration Association under its applicable Consumer Arbitration Rules and may be conducted by video, phone, documents-only submission, or in person if required by the rules or the arbitrator.

If you do not want to be bound by this arbitration agreement, you may opt out within thirty days after first accepting these Terms by emailing privacy@niftybot.ai with your full name, the email address associated with your account, and a clear statement that you want to opt out of arbitration.

16. Governing Law

These Terms and any dispute between you and NiftyBot LLC are governed by the Federal Arbitration Act, applicable federal law, and, to the extent state law applies, the law of the state where NiftyBot LLC is organized, without regard to conflict of laws principles.

If a dispute is not subject to arbitration, both parties agree to the exclusive jurisdiction of the state or federal courts that have jurisdiction where NiftyBot LLC is based, and each party waives any objection to venue in those courts.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through Alchemy, by updating the effective date, or by other reasonable means.

Your continued use of Alchemy after updated Terms become effective means you accept the updated Terms.
